IT Terms and Conditions
1. Introduction
These Terms and Conditions ("Terms") govern the provision of IT consulting, support, and related services ("Services") by Pysxis Services Limited ("we," "us," "our") to you ("Client," "you"). By engaging our Services, you agree to these Terms.
2. Services Provided
We offer IT consulting, support, and related solutions as outlined in the agreement or proposal provided to you. Any additional services must be agreed upon in writing.
3. Fees and Payment​
Fees for Services are outlined in the agreed proposal or service agreement.Payments are due within 30 days of invoicing unless otherwise agreed.Late payments may incur interest at 1.5 % per month.
4. Client Responsibilities
To ensure the effective delivery of Services, you agree to: Provide access to necessary systems, information, and personnel.Maintain necessary licenses for third-party software and tools.Notify us promptly of any issues or changes impacting the Services.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation continues for 2 years after the termination of Services.

6. Intellectual Property
Any intellectual property developed during the engagement remains our property unless otherwise agreed in writing.You are granted a non-exclusive, non-transferable license to use deliverables solely for internal purposes.
7. Limitation of Liability
We are not liable for any indirect, incidental, or consequential damages arising from the Services.Our total liability is limited to the amount paid by you for the Services in the preceding 6 months.
8. Service Warranties
We will provide the Services with reasonable skill and care.We do not warrant uninterrupted or error-free operation of any system, software, or network.
9. Termination
Either party may terminate the agreement with 30 days’ written notice.We may terminate immediately if you breach these Terms or fail to pay fees. Upon termination, all outstanding fees become immediately payable.
10. Data Protection
We comply with applicable data protection laws. You are responsible for ensuring any data you provide complies with relevant regulations.
11. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, strikes, or cyberattacks.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. Any disputes will be resolved through arbitration or mediation in England and Wales, unless otherwise agreed.
13. Amendments
We may update these Terms from time to time. Changes will be communicated to you and take effect upon acceptance.
14. Entire Agreement
These Terms, together with any signed agreement, constitute the entire agreement between the parties and supersede any prior understandings.1
